Personal Computer Club at Sun Lakes
By-Laws

ARTICLE I: NAME

The name of the Club shall be "Personal Computer Club at Sun Lakes."

ARTICLE II:  PURPOSE

The purpose of the Club is to promote interest, education and enjoyment in the use of
personal computers.

ARTICLE III: MEMBERSHIP AND DUES

[a]      Membership shall be restricted to owners or lessees of Sun Lakes Country Club.

[b]      The club shall, at least annually, publish a membership directory listing current
members.

    [c]      Club dues are established as an annual fee of $20.00 per household  payable by the end
                             of  January of each year.   New members joining after July 1 of each year will have their
                             dues pro-rated on a semi-annual basis.     .               .

ARTICLE IV: BOARD OF DIRECTORS

   [a] The Board of Directors shall consist of a President, a Vice-President, a Secretary, a
Treasurer, the Immediate Past President and five [5] elected members at large, all of
whom shall be members in good standing.

   [b] The Board shall take office on January 1 of each year and serve until December 31
of that year.

   [c] The Board shall have general supervision of the affairs of the Club between its
business meetings, fix the hour and place of meetings and perform such other duties
as are specified in these by-laws.  It is subject to the orders of the Club and none of
its acts shall conflict with action taken by the Club.

   [d] Meetings of the Board shall be held at least quarterly on dates determined by the
President or acting President.  A majority of the Board of Directors shall constitute
a quorum for the conduct of Club business.

   [e] In the event an officer or director resigns or is unable to carry out the duties of
his or her office, the Board of Directors shall appoint a successor to serve the
remainder of said officer's or director's term of office.

   [f] The Board shall submit all capital expenditure requests in excess of one hundred
dollars ($100.00) to the membership for approval.

 


ARTICLE V: DUTIES OF OFFICERS

   [a] The President shall preside at all meetings of the Club and of the Board of Directors
and shall be the Club's representative in all external matters, including  the Sun Lakes
Country Club Home Owners Association.

   [b] The Vice-President shall, in the absence of the President, assume all the duties and
responsibilities of the President.

   [c]    The Secretary shall keep minutes of all meetings and shall have charge of Club
records.

   [d]   The Treasurer shall keep records of all funds received and account for all expen-
ditures.  A Financial Report shall be submitted at each meeting of the Board of
Directors and to all members, at least annually.

ARTICLE VI: BUSINESS MEETINGS

   [a]    Regular monthly meetings shall be on the third Thursday of each month.  Alternate
meeting dates and sites may be selected by the President with the approval of the
Board of Directors.

   [b] Nominations of candidates for Club officers shall take place at the November Club
meeting.  The annual meeting of the Club membership shall be held in December.  At
that time officers for the following year shall be elected.

   [c] Special meetings of the membership may by called by the President  or by a majority
of the Board of Directors.

ARTICLE VII: COMMITTEES AND SPECIAL INTEREST GROUPS

   [a] Committees shall be established by the  President as needed.  Chairpersons will
be appointed by the President and will serve until the committee is dissolved or
replaced.

   [b] Special Interest Groups (SIGs) may be formed by members wishing to par-
ticipate in a particular activity or interest, subject to Board approval.. These
groups will choose a leader and will be dissolved when member support is lost.

ARTICLE VIII: AMENDMENT TO THE BY-LAWS

   [a] By-law amendments shall be initiated by the Board of Directors.   

   [b] These by-laws may be amended at any regular meeting of the Club by a
two-thirds vote of members present, provided notice was given at the previous
meeting.

ARTICLE IX: RULES OF ORDER

  [a]   The rules contained in the most recent edition of
Robert's Rules of Order shall
govern the Club in all cases to which they are applicable and in which they are
not inconsistent with these by-laws.
